The Zambian Champions advanced via 5-4 post penalties.
Goalkeeper Lawrence Mulenga saved a spot kick to send the Kitwe side through.
Fofana gave the host a 1-0 lead in the 53rd minute but Power Dynamos hang on.
Seydou Sacko was sent off in the 61st minute for Asec.
With a man down, Asec struggled to control the match.
Defender Dominic Chanda also received a red card with three minutes to full.
Power Dynamos will now face Ugandan side Vipers in the next round.
